Terms of Service

Please read these Terms carefully before using Pinglow. By creating an account, accessing, or using the Platform in any way, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.


1.Parties and Agreement

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Pinglow Konnect Limited (“Pinglow”, “we”, “our”, or “us”), a company registered in Nigeria with its principal place of business at Lagos, Nigeria.

These Terms govern your access to and use of the Pinglow mobile application (iOS and Android) and the website at pinglow.app, including all content, features, and services (collectively, the “Platform”).

Our Privacy Policy is incorporated into these Terms by reference. By agreeing to these Terms, you also agree to the Privacy Policy.


2.Eligibility

2.1 Age Requirement

You must be at least 16 years of age to create an account or use the Platform. Where the minimum age for digital consent or entering binding contracts is higher in your jurisdiction (including 18 in many jurisdictions), you must meet that higher requirement. We do not knowingly permit individuals under 16 to create accounts.

2.2 Authority to Bind

If you are registering on behalf of a business or legal entity, you represent and warrant that you have the legal authority to bind that entity to these Terms. Pinglow is not liable for any act resulting from a user falsely claiming such authority.

2.3 Geographic Availability

The Platform is operated from Nigeria and intended for users in Nigeria. It may be accessible from other locations, but we make no representation that it is appropriate or available for use elsewhere. If you access the Platform from outside Nigeria, you do so on your own initiative and are responsible for compliance with applicable local laws. We may restrict access in any jurisdiction at our discretion.


3.Account Registration and Security

3.1 Account Creation

To access most features, you must register as a Personal User (to discover events, purchase tickets, and check in) or as an Organizer (to create and manage events, sell tickets, and access analytics). You may also sign in using Google OAuth, in which case your account is subject to both these Terms and Google’s Terms of Service.

3.2 Accuracy of Information

You agree to provide accurate, complete, and current information when registering. You may not impersonate any person or entity, misrepresent your identity, or create an account using false information.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your credentials. You must notify us immediately at support@pinglow.app if you suspect unauthorized access. Pinglow will not be liable for any loss arising from your failure to maintain account security.

3.4 One Account Per Person

You may only hold one personal account per individual. Creating multiple accounts to circumvent suspensions, bans, or limits is prohibited.

3.5 Account Closure

You may close your account at any time by contacting support@pinglow.app. Outstanding obligations (e.g., unpaid fees, active orders) survive account closure.


4.The Platform - Permitted Use

4.1 License Grant

Subject to your compliance with these Terms, Pinglow grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial purposes (or, for Organizers, for the lawful commercial purpose of organizing events).

4.2 Permitted Uses

  • Discover nearby events and places; view real-time crowd levels.
  • Purchase tickets to listed events; check in at places and events.
  • View and manage purchased tickets, including presenting QR codes for admission.
  • Create and manage a personal profile; connect with friends and, if you choose, share your event check-ins with them.
  • If approved as an Organizer: create, publish, and manage events and sell tickets.

4.3 Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of applicable laws.
  • Post, transmit, or distribute content that is defamatory, fraudulent, threatening, harassing, hateful, or otherwise objectionable.
  • Attempt to gain unauthorized access to any part of the Platform, other user accounts, or associated systems.
  • Interfere with or disrupt the integrity or performance of the Platform.
  • Use automated means (bots, scrapers, crawlers) to access, collect, or index the Platform without our express written permission.
  • Reverse engineer, decompile, or disassemble the Platform or attempt to extract its source code.
  • Resell or transfer your account, tickets, or Platform access without our consent.
  • Create, purchase, or resell fraudulent tickets or use counterfeit/altered QR codes to gain admission.
  • Engage in ticket scalping, secondary market resale, or bulk ticket purchasing through automated means.
  • Impersonate another person, business, or entity or falsely represent your identity.
  • Upload or transmit viruses, malware, or any other malicious code.
  • Use the Platform to send spam, unsolicited messages, or unauthorized advertising.

Violations may result in immediate account suspension or termination, ticket cancellation without refund, and/or legal action.


5.Organizer Terms

This section applies specifically to users who operate Organizer accounts. All other Terms provisions also apply.

5.1 Eligibility

To create an Organizer account, you must be at least 18 years of age and have the legal authority to organize and sell tickets to events in your jurisdiction. You represent that you have obtained all necessary permits, licenses, authorizations, and approvals.

5.2 Event Listings

You are solely responsible for the accuracy and legality of your event listings. You warrant that: all information is accurate and not misleading; you have the right to hold the event at the specified venue; the event does not violate any applicable law or third-party right; and you will honor all tickets sold and deliver the event as described.

5.3 Ticket Pricing and Fees

You set your own ticket prices subject to our minimum and maximum guidelines. Pinglow charges a platform service fee on each ticket sold; the current fee schedule is displayed in your organizer dashboard. Fees are deducted from your proceeds prior to payout. We will provide 30 days’ written notice for material fee changes.

5.4 Payouts

Proceeds (less platform fees and payment processing charges) are remitted to your verified bank account on a weekly payout run. To keep buyer refunds and organizer payouts in sync, an order’s proceeds are only released in a payout run once that order is no longer eligible for a buyer self-service refund under Section 7.2 (i.e. its event has reached the refund cutoff); orders for events further out are held and paid in a later run. Pinglow reserves the right to withhold payouts in cases of suspected fraud, chargebacks, disputes, or Terms violations pending investigation.

5.5 Event Cancellations and Material Changes

If you need to cancel an event, you (or Pinglow, on your behalf or at our own discretion) trigger the cancellation through the Platform; every buyer with a completed order is refunded automatically and in full as described in Section 7.3, and the pending payout for those orders is withheld. If you materially change an event (date, time, location, or headline acts) after tickets have been sold, you must notify affected ticket holders and offer full refunds within 48 hours of the change; contact Pinglow support to process these refunds if the buyer does not request one themselves. Failure to notify holders of a material change may result in account suspension and recovery of refund amounts from future payouts.

5.6 Attendee Data

Attendee contact information may only be used for purposes directly related to the specific event for which tickets were purchased. Any other use, including marketing, is prohibited without the attendee’s separate, informed consent.

5.7 Organizer Liability

Pinglow is a technology platform and marketplace, not a co-organizer of any event. The Organizer is solely and fully responsible for the event, including safety, venue compliance, insurance, and delivery of services as advertised. Pinglow shall not be liable for any injury, loss, or damage arising from the event itself.


6.Ticket Purchases

6.1 Purchase Agreement

When you purchase a ticket, you enter into a contract with the Event Organizer for attendance. Pinglow facilitates the transaction as authorized agent of the Organizer and is not a party to the attendance contract. By purchasing, you also agree to the Organizer’s event-specific terms (age restrictions, dress code, no-recording policies, etc.).

6.2 Checkout Process

The checkout process: (1) select ticket tier and quantity; (2) provide contact information and confirm your order within a 10-minute reservation window; (3) complete payment; (4) receive order confirmation. If payment is not completed within 10 minutes, your reservation expires and tickets may be released to other users.

6.3 Ticket Delivery

Upon successful payment, your ticket(s) appear immediately in the Tickets section of your Pinglow account. An order confirmation email is sent to your registered email. Each ticket’s QR code becomes scannable 30 minutes before the event start time.

6.4 Ticket Security

Each Pinglow ticket carries a cryptographic HMAC-SHA256 signature tied to the ticket’s unique identifier, buyer’s user ID, and event ID. This signature is verified at admission and cannot be forged. A QR code is valid for a single scan; once used it is permanently marked as used. Any attempt to copy, reproduce, or alter a QR code will result in admission refusal and may result in account suspension.

6.5 Transferability

Tickets are generally non-transferable unless the Organizer explicitly enables ticket transfers. You may not sell, trade, or give away your QR code or account access. Pinglow is not responsible for tickets sold through unauthorized secondary channels.

6.6 Pricing and Taxes

Ticket prices are set by Organizers in the currency specified on the event listing. You are responsible for any taxes applicable to your purchase under the laws of your jurisdiction.


7.Refund and Cancellation Policy

7.1 General Policy

You may request a refund on a completed ticket order yourself at any time until 6 hours before the event’s scheduled start time (Section 7.2). If the Organizer or Pinglow cancels the event, every buyer is refunded automatically in full regardless of timing (Section 7.3).

7.2 Buyer-Requested Refunds

Self-service refund requests are available from your order in the Tickets section of your account up until 6 hours before the event starts; the request closes automatically once the event is within that 6-hour window. A ticket that has already been scanned for admission is no longer eligible. Approved refunds return 80% of the amount paid to your original payment method; Pinglow retains the remaining 20% as a refund handling fee. Refunded tickets are cancelled immediately and can no longer be used for admission.

7.3 Event Cancellation by Organizer or Pinglow

If an event is cancelled — by the Organizer or by Pinglow, for any reason — every buyer with a completed order is refunded automatically and in full (100% of the amount paid, with no handling fee deducted) to their original payment method, and all associated tickets are voided.

7.4 Discretionary Refunds

Separately from Sections 7.2 and 7.3, Pinglow or the Organizer may, at their discretion, issue a full refund for an individual order outside the buyer self-service window described in Section 7.2 — for example, to resolve a customer support issue. Such refunds are processed the same way as the automatic refunds described above and immediately void the associated ticket(s).

7.5 Failed Payment

If payment fails after an order is initiated, no ticket will be issued and no charge applied. You may retry subject to ticket availability.

7.6 Chargebacks

If you initiate a chargeback without first contacting Pinglow to attempt resolution, we reserve the right to suspend your account and cancel associated tickets pending investigation. Repeated or fraudulent chargebacks may result in permanent account termination.


8.User-Generated Content

8.1 Your Content

The Platform may allow you to submit profile photos, usernames, display names, business names, biographies, and event descriptions and cover images (collectively, “User Content”). You retain all ownership rights in your User Content.

8.2 License to Pinglow

By submitting User Content, you grant Pinglow a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, use, display, reproduce, and distribute your User Content solely for the purposes of operating and providing the Platform. This license terminates when you delete the content or close your account.

8.3 Content Standards

User Content must not: be false, misleading, or fraudulent; infringe third-party intellectual property, privacy, or publicity rights; be defamatory, obscene, pornographic, harassing, or hateful; promote violence, illegal activity, or discrimination; or contain malware or other harmful code.

8.4 Content Moderation

Pinglow reserves the right (but not the obligation) to review, monitor, and remove User Content that violates these Terms or that we determine is harmful or inappropriate, without notice.


9.Intellectual Property

9.1 Our Intellectual Property

The Platform, including its source code, design, user interface, graphics, logos, text, data models, and all other content (collectively, “Pinglow Content”), is owned by or licensed to Pinglow Konnect Limited and is protected by copyright, trademark, trade secret, and other intellectual property laws. No provision of these Terms transfers any Pinglow intellectual property to you.

9.2 Trademarks

“Pinglow,” the Pinglow logo, and associated product names and slogans are trademarks of Pinglow Konnect Limited. You may not use any Pinglow trademark without our prior written consent.

9.3 Feedback

If you provide Feedback (ideas, suggestions), you grant Pinglow a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose, without obligation of compensation or attribution.

9.4 Copyright Takedowns

If you believe content on the Platform infringes your copyright, send a takedown notice to legal@pinglow.app with subject line “Copyright Takedown” including: description of the copyrighted work; identification of the infringing content; your contact information; a statement of good faith belief; and a declaration of accuracy under penalty of perjury.


10.Check-In Feature and Location Services

When you attend an event, your ticket is scanned at admission and a check-in (your user ID + timestamp) is recorded. You acknowledge that: this check-in is used to compute crowd levels; aggregate crowd data derived from check-ins may be displayed publicly; and Pinglow does not guarantee the accuracy of crowd level data - it is provided for informational purposes only. Location services are used, with your permission, to show nearby events and places; your precise location is processed only momentarily to return nearby results, as described in our Privacy Policy.


11.Third-Party Services and Links

The Platform integrates third-party services including mapping, payments, and infrastructure providers described in our Privacy Policy. Your use of those services is governed by their respective terms. The Platform may also display links to third-party websites provided for convenience only; Pinglow is not responsible for their content or practices.


12.Disclaimers and No Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

In particular, Pinglow does not warrant that the Platform will be uninterrupted or error-free; that event listings are accurate (Organizers are responsible); that crowd level data is accurate (it is estimated from user-submitted check-ins); or that map and geocoding data is accurate for navigation or safety-critical purposes.


13.Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PINGLOW AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

IN ANY CASE, PINGLOW’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IS LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO PINGLOW IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) NGN 10,000 (TEN THOUSAND NAIRA).

These limitations reflect a fair allocation of risk and are a fundamental element of the basis of the bargain between you and Pinglow.


14.Indemnification

You agree to defend, indemnify, and hold harmless Pinglow and its officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right; (d) any User Content you submit; (e) if you are an Organizer, any claim by an attendee arising from your event; or (f) any fraud or misrepresentation on your part.


15.Suspension and Termination

15.1 Termination by Pinglow

Pinglow may suspend, restrict, or terminate your account without prior notice if: you have violated these Terms; your conduct poses a risk of harm to Pinglow or other users; we receive a legal order requiring us to do so; you have provided false account information; or your account has been inactive for more than 24 consecutive months.

15.2 Effect of Termination

Upon termination, your license to use the Platform immediately revokes. Sections that should survive termination (including Sections 8.2, 9, 12, 13, 14, 16, and 17) will survive.

15.3 Appeals

If you believe your account was suspended or terminated in error, email support@pinglow.app within 30 days. We will review your appeal in good faith but are not obligated to reinstate accounts.


16.Dispute Resolution

16.1 Informal Resolution

Before initiating any formal dispute, both parties agree to attempt informal resolution. Please send your complaint to legal@pinglow.app with subject line “Dispute Notice.” We will try to resolve the matter within 30 days.

16.2 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms will be resolved by binding arbitration administered by the Lagos Court of Arbitration (LCA) in Lagos, Nigeria, by a single arbitrator. The language of arbitration is English. The arbitral award shall be final and binding.

16.3 Class Action Waiver

YOU AND PINGLOW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

16.4 Exceptions

Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm while arbitration is pending. Pinglow may also bring claims in court for infringement of its intellectual property rights.


17.Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. To the extent any dispute is not subject to arbitration under Section 16, both parties submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria. Nothing in these Terms removes any protection you have under mandatory consumer-protection laws that apply to you where those laws cannot be excluded by agreement.


18.General Provisions

Entire Agreement

These Terms (together with the Privacy Policy) constitute the entire agreement between you and Pinglow with respect to the Platform and supersede all prior understandings.

Severability

If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder of the Terms continues in full force.

Waiver

Our failure to enforce any right or provision will not be construed as a waiver unless acknowledged by us in writing.

Assignment

You may not assign these Terms without our prior written consent. We may assign without restriction, including in connection with a merger or acquisition.

Force Majeure

We will not be liable for failure or delay in performance resulting from causes beyond our reasonable control including natural disasters, war, pandemics, or third-party service outages.

Language

These Terms are written in English. Any translations are non-binding. In case of conflict, the English version prevails.


19.Changes to These Terms

We may modify these Terms at any time. For material changes, we will: update the “Last updated” date; notify you by email at least 14 days before changes take effect; and display a prominent notice on the Platform. For non-material changes (typographical corrections, clarifications), changes take effect immediately. Your continued use after the effective date constitutes acceptance.
